The Usage Agreement section

Introduction

The Business Station platform and its affiliated platforms (HarajStation – Shops Station) are owned and operated by the Business Headquarters Marketing Corporation. The platform is a website, mobile app, or other electronic platform that allows merchants to create online stores and consumers to purchase products and services from those stores.

Acceptance of Terms

By using the Business Station platform and its affiliated platforms, you agree to the terms and conditions of this agreement. These terms and conditions govern your use of the platform and all of its services. If you do not agree to these terms and conditions, you should not use the platform.

Scope of Agreement

This agreement applies to all users of the Business Station platform and its affiliated platforms, whether they are merchants, consumers, or other third parties. The agreement also applies to all content and information that is posted on the platform.

Changes to Agreement

The Business Headquarters Marketing Corporation may change the terms and conditions of this agreement at any time. You will be notified of any changes by email or through a notice on the platform. If you continue to use the platform after the changes have been made, you will be deemed to have accepted the new terms and conditions.

Termination of Agreement

Either party may terminate this agreement at any time. If you terminate this agreement, you must cease using the platform and delete all content that you have posted on the platform. The Business Headquarters Marketing Corporation may also terminate this agreement at any time, for any reason.

Disclaimer of Liability

The Business Headquarters Marketing Corporation makes no warranties or representations about the accuracy, completeness, or timeliness of the information on the platform. The platform is provided “as is” and “as available.” The Business Headquarters Marketing Corporation is not responsible for any damages that you may suffer as a result of using the platform.

Indemnification

You agree to indemnify and hold harmless the Business Headquarters Marketing Corporation and its affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the platform.

Governing Law

This agreement is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising out of this agreement will be resolved in the courts of the Kingdom of Saudi Arabia.

Miscellaneous

If any provision of this agreement is found to be invalid or unenforceable, such provision will be struck from this agreement and the remaining provisions will remain in full force and effect. This agreement constitutes the entire agreement between you and the Business Headquarters Marketing Corporation with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

First item: introduction

The preamble above is an integral part of this agreement. Below you will find the meanings and definitions of the main phrases used in this agreement:

  • Business Station platform and its affiliated platforms: This refers to the Business Headquarters Marketing Corporation’s website, mobile app, or other electronic platform.
  • Merchant: This refers to any natural or legal person who registers on the Business Station platform and its affiliated platforms to create an online store.
  • Store: This refers to the online storefront that a merchant creates on the Business Station platform and its affiliated platforms.
  • Consumer: This refers to any natural person who purchases products or services from a merchant’s online store on the Business Station platform and its affiliated platforms.
  • Agreement: This refers to the terms and conditions that govern the use of the Business Station platform and its affiliated platforms.
  • Service Provider: This refers to a third-party company that provides services to merchants through the Business Station platform and its affiliated platforms.

 

Second Item: Legal Merchant Eligibility:

  • Legal Capacity: The merchant must have legal capacity to enter into this agreement. This means that the merchant must be:
    • At least 18 years old
    • Of sound mind
  • Consent of Guardian: If the merchant is under the age of 18, they must provide proof of the consent of their guardian to establish an online store.
  • Legal Form: If the merchant is an establishment or company, they must have the legal capacity to carry out trade business through the Business Station platform and its affiliated platforms.
  • Consequences of Non-Compliance: If the merchant violates any of the requirements for legal capacity, they will be responsible for any damages that result. The Business Station platform and its affiliated platforms may also hold the merchant liable for damages to their reputation.

In other words, the merchant must be legally capable of entering into this agreement and conducting trade business through the Business Station platform and its affiliated platforms. If the merchant violates this requirement, they will be responsible for any damages that result.

  • The merchant must be registered with the appropriate government agency in the Kingdom of Saudi Arabia.

Third item: the nature of the Business Station platform and its affiliated platforms (Haraj Station – Shops Station)

 

  • The Business Station platform and its affiliated platforms are a technical electronic platform that allows merchants to establish online stores. The platform does not sell products or services, nor is it responsible for the transactions that take place between merchants and consumers.
  • The role of the platform is to provide merchants with the tools they need to create and manage their online stores. This includes things like:
    • Providing a space for merchants to list their products or services
    • Helping merchants to set prices and process payments
    • Providing marketing and promotional support
  • The platform also offers some free services, such as the ability to modify the appearance of a store. However, most services are paid for, and merchants can choose the level of service that best meets their needs.
  • The platform is not responsible for any violations that occur between merchants and consumers. This includes things like:
    • Failure to deliver products or services
    • Fraudulent activity
    • Disputes over prices or terms of sale
  • If a merchant violates the platform’s terms of service, the platform may take action, such as suspending or terminating the merchant’s account. However, the platform is not responsible for any damages that may result from the violation.

In other words, the Business Station platform and its affiliated platforms are a tool that merchants can use to sell products or services online. The platform does not guarantee that merchants will be successful, and it is not responsible for any problems that may arise in the course of business.

  • The platform does not control the prices of the products or services that are listed on it.
  • The platform does not have any control over the quality of the products or services that are listed on it.
  • Free Services: The Business Station platform and its affiliated platforms may temporarily offer some free services to merchants, such as the ability to modify the appearance of a store. However, these services are limited and subject to specific restrictions. If a merchant wants additional services, they must contact the platform’s technical support team to inquire about packages and fees.
  • Transactions between Merchants and Consumers: The Business Station platform and its affiliated platforms are not responsible for any transactions that take place between merchants and consumers. These transactions are considered independent contractual relationships that are subject to the agreement between the merchant and the consumer. For example, if a consumer fails to pay for a product or service, the platform is not responsible.
  • Transactions between Merchants and Third-Party Providers: The Business Station platform and its affiliated platforms may provide links to third-party providers of services. However, the platform is not responsible for any transactions that take place between merchants and these providers. These transactions are considered independent contractual relationships that are subject to the agreement between the merchant and the service provider. For example, if a merchant fails to fulfill their obligations to a third-party provider, the platform is not responsible.

In other words, the Business Station platform and its affiliated platforms are not responsible for any problems that may arise between merchants, consumers, or third-party providers. The platform is simply a tool that merchants can use to sell products or services online.

  • The Business Station platform and its affiliated platforms are a technical electronic platform. They are not responsible for the actions of merchants who use the platform to sell products or services.
  • The platform’s mission is to allow merchants to establish their own online stores. It does not guarantee the success of merchants or the quality of the products or services they sell.
  • The platform is not responsible for any violations committed by merchants in their stores. This includes things like:
    • Selling counterfeit or illegal products
    • Failing to deliver products or services
    • Engaging in fraudulent activity
  • The platform is also not responsible for any disputes that arise between merchants and consumers. These disputes are considered independent contractual relationships that are subject to the agreement between the merchant and the consumer.

In other words, the Business Station platform and its affiliated platforms are a tool that merchants can use to sell products or services online. However, the platform is not responsible for the actions of merchants or the quality of the products or services they sell.

Fourth item: Controls for creating an online store:

Controls for creating an online store:

  • Legal Capacity: Only persons who have the legal capacity to enter into contracts can establish an online store on the Business Station platform and its affiliated platforms.
  • Compliance with Laws and Regulations: The store must comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
  • Merchant’s Acknowledgment: The merchant acknowledges that their store does not violate public order or Islamic morals in the Kingdom of Saudi Arabia.
  • Cancellation of Membership: If a merchant’s membership or store is canceled, they will no longer be able to use the Business Station platform and its affiliated platforms.
  • Compliance with Applicable Laws: All stores and merchants must abide by all applicable laws regulating online commerce.

In other words, the Business Station platform and its affiliated platforms have a number of requirements that merchants must meet in order to establish an online store. These requirements include having the legal capacity to enter into contracts, complying with all applicable laws and regulations, and not violating public order or Islamic morals.

  • Compliance with Registration Obligations: The store and the merchant must abide by the registration obligations specified in “Article Five – Accounts and Registration Obligations”, and all the rules and provisions of the usage agreement.

In other words, merchants who want to register on the Business Station platform and its affiliated platforms must have the necessary documentation and meet the registration requirements. This includes having a commercial registration or a freelance document, providing their national identity number, and providing documentation for legal entities. Merchants must also comply with the registration obligations specified in the usage agreement.

If a merchant fails to meet the registration requirements, their application may be rejected.

Fifth item: Accounts and registration obligations:

  • Account Information: When you register on the Business Station platform and its affiliated platforms, you will be required to disclose specific information, such as your name, email address, and password. You are responsible for maintaining the confidentiality of this information and for notifying the platform immediately if it is compromised.
  • Unauthorized Use: The platform is not responsible for any losses that you may incur as a result of unauthorized use of your account information. You are responsible for using your account only and for ensuring that no one else uses it without your permission.
  • Seriousness and Credibility: When using the platform, you are obligated to use it with seriousness and credibility. You must also comply with the rules and provisions of the usage agreement and with all applicable laws and regulations in the Kingdom of Saudi Arabia.
  • Compensation: If you use your account illegally, unreliably, or unauthorized, you may be liable to compensate the platform for any losses that it incurs.
  • True Information: You are obligated to provide true, correct, updated, complete, and legal information about yourself when registering on the platform. You must also update your information if it changes or if there is a need to do so.

In other words, when you register on the Business Station platform and its affiliated platforms, you are entering into a contract with the platform. This contract includes certain obligations that you must abide by. These obligations are designed to protect the platform and its users.

  • Username: Your username should not include any of your contact details, such as email addresses, phone numbers, or any personal details. It should also not include any phrases that indicate a personal or commercial relationship between you and the Business Station platform and its affiliated platforms, employees, or owners.
  • Store: You should not put anything in your store that indicates a direct or indirect relationship between your store and the Business Station platform and its affiliated platforms or its management, owners, or employees. The platform is not responsible for your store activity.
  • Privacy: The platform is committed to dealing with your personal information and contact addresses confidentially in accordance with the privacy policy and confidentiality of information applicable to the Business Station platform and its platforms.
  • Account Information: You are obligated to maintain and always update your registration data to keep it true, correct, current, complete, and legal. If you fail to do so, the platform may stop, freeze, or cancel your membership, store, and account.
  • Investigations: The platform has the right at any time to conduct any investigations it deems necessary, whether directly or through a third party. It may also ask you to disclose any additional information or documents to prove your identity or ownership of your money or your account.

Consequences of Non-Compliance:

If you do not comply with any of the above, the management of the Business Station platform and its affiliated platforms has the right to stop or cancel your store or membership, or block you from accessing the services of the Business Station platform and its affiliated platforms again. It also reserves the right to cancel any unconfirmed and unverified accounts, transactions, or accounts that have been inactive for a long period of time.

In other words, the Business Station platform and its affiliated platforms have a number of rules and regulations that you must abide by when using their services. These rules are designed to protect the platform and its users. If you violate any of these rules, you may be subject to sanctions, such as having your account suspended or terminated.

If you do not want to receive promotional emails from the platform, you can opt out by following the instructions that are provided in the emails. You can also opt out by contacting the platform’s customer service team.

In other words, the Business Station platform and its affiliated platforms will communicate with you electronically. You agree that these electronic communications will have the same legal effect as if they were provided to you in writing. You can opt out of receiving promotional emails by following the instructions in the emails or by contacting the platform’s customer service team.

 

Seventh item: Amendments to the usage and fees agreement:

  • The Business Station platform and its affiliated platforms may charge merchants or stores depending on the offers or packages they join or policies that they use.
  • The Business Station platform and its affiliated platforms reserve the right to add, increase, reduce, or deduct any fees or expenses under the rules and provisions of the usage agreement.

In other words, the Business Station platform and its affiliated platforms have the right to change the terms and conditions of the usage agreement at any time. If you do not agree to the changes, you may stop using the platform’s services.

The platform also has the right to charge fees for its services. The fees may vary depending on the package or offer that you choose.

 

Eighth item: Payment and payment services for stores on the Business Station platform and its platforms (Haraj Station – Shops Station)

 

Payment Methods:

  • The Business Station platform and its affiliated platforms provide payment and payment services through its partners.
  • The platform has no relationship with the payment method upon receipt, as this payment method is subject to the relationship between the consumer, the merchant, and the service provider.
  • The platform may stipulate at any time that the payment operations take place directly between the merchant and the consumer, and through their own bank accounts, and there is no relationship then to the platform.

Pricing:

  • The merchant is obligated to determine the price of the service or goods that he displays in his store according to the recognized market value.

  • The platform has the right to prevent the completion of the procedures for any payment process in violation of the rules and provisions of the usage agreement.

    • Selling your information to third parties
  • The confidentiality of the information of stores and merchants is subject to the rules of the “Privacy Policy and Confidentiality of Information” of the Business Station platform and its platforms (Haraj Station – Business Station).

In other words, you are giving Business Station and its affiliated platforms permission to use any information that you provide to them, including your personal information and transaction details. You are responsible for the accuracy and completeness of the information that you provide. Business Station and its affiliated platforms may use the information that you provide for any purpose, including but not limited to displaying your information on the platform, sending you marketing or promotional materials, or selling your information to third parties. The confidentiality of the information of stores and merchants is subject to the privacy policy of the Business Station platform and its platforms.

 

Item Ten: The merchant’s undertaking to comply with the laws and regulations in the Kingdom of Saudi Arabia:

 

The Merchant’s Undertaking to Comply with the Laws and Regulations in the Kingdom of Saudi Arabia:

  • The merchant undertakes to comply with all laws and regulations in force in the Kingdom of Saudi Arabia regarding his products and/or during his use of the Business Station platform and its platforms (Haraj Station – Shops Station).
  • The merchant also undertakes to comply with the applicable laws, terms and conditions that regulate the use of Internet space, the usage agreement, the privacy policy and the confidentiality of information applicable to the Business Station platform and its platforms (Haraj Station – Shops Station).
  • In the event that any of the merchants violates what was stated in Article 10, he acknowledges the right of the Business Station platform and its affiliated platforms to take any of the following measures, including but not limited to:
    • Warning
    • Stopping the service and closing the store
    • Returning any pending amounts in electronic payments to consumers

In other words, the merchant is responsible for ensuring that his products and/or activities comply with all applicable laws and regulations in the Kingdom of Saudi Arabia. The merchant is also responsible for complying with the usage agreement, the privacy policy, and the confidentiality of information applicable to the Business Station platform and its platforms. If the merchant violates any of these terms, the platform may take any of the measures listed above.

 

 

 

Item Eleven: Rights

 

  • All content on the Business Station platform and its platforms (Haraj Station – Shops Station), electronic or otherwise, written or unwritten, is the property of the Business Station platform and its affiliated platforms.
  • The rights to this content are reserved for the Business Station platform and its affiliated platforms, and no one has the right to use it in any way, whether directly or indirectly, or through a third party.
  • The Business Station platform and its affiliated platforms will take the necessary measures to prevent and/or infringe any of the rights or intellectual property of the Business Station platform and its affiliated platforms.
  • The Business Station platform and its affiliated platforms will not be held liable in the event of infringement of the intellectual property rights owned by the merchants who are members of the platform or the stores registered with it.

In other words, the Business Station platform and its affiliated platforms own all of the content that is available on the platform. This includes text, images, videos, and other forms of media. No one is allowed to use this content without the permission of the Business Station platform and its affiliated platforms.

The Business Station platform and its affiliated platforms will take steps to prevent anyone from using their content without permission. However, they are not responsible for any infringement of intellectual property rights that may occur between merchants or stores that are registered on the platform.

 

Item Twelve: Intellectual Property

  • The Business Station platform and its affiliated platforms respect the intellectual property rights of merchants that they built through their stores, whether they were owned by them before or after the establishment of the store.
  • The merchant respects the intellectual property rights of the Business Station platform and its platforms (Haraj Station – Shops Station). This includes the Business Station platform and its affiliated platforms themselves, and the words, logos and other symbols of the Business Station platform and its affiliated platforms or displayed on the Business Station platform and its platforms (Haraj Station – Shops Station).
  • The Business Station platform and its platforms (Haraj Station – Shops Station) are protected by intellectual property rights and trademark laws and are the exclusive property of the Business Station platform and its affiliated platforms. It is not permissible in any way to infringe it or use it without authorization from the management of the Business Station platform and its platforms (Haraj Station – Shops Station).

  • If a consumer purchases goods with one of the payment methods available on the Business Station platform and its platforms (Haraj Station – Shops Station), and does not receive their goods or that they received goods that differ from the specifications offered on the store page, then the consumer has the right to inform the Business Station platform and the platforms affiliated with it.
  • The Business Station platform and its affiliated platforms have the right to take what it deems appropriate regarding the store that violated the rules of this agreement, in accordance with the rules of this agreement.   • Any claim, dispute, costs, damages, or any liability or any direct or indirect loss to any party arising from an action taken by a user of the platform.
  • The misuse of a sound, legitimate and authorized product in accordance with the laws and regulations of the Kingdom of Saudi Arabia, if it is used for illegal and illegal purposes.
  • Any illegal or irregular activity carried out by the store, or any activity that violates the applicable laws and instructions in the Kingdom of Saudi Arabia.

The Business Station platform and its affiliated platforms are only responsible for providing and providing electronic support tools represented in the establishment of the online store and the subsequent electronic support services.

The Business Station platform and its affiliated platforms will inform the competent authorities about any suspicious activities that are being planned or are being committed or have taken place on the Business Station platform and its affiliated platforms. The Business Station platform and its affiliated platforms are only responsible for providing the electronic tools that merchants need to set up and run their online stores. They are not responsible for the content of the stores or the way that merchants interact with consumers.

They take high-quality (tangible, organizational, and technical) standards to protect users’ personal information and prevent unauthorized access. However, they cannot control the actions of third parties.

You agree that the Business Station platform and its affiliated platforms may use your information that you provided to them with the aim of providing services to you in the Business Station platform and its platforms (Haraj Station – Business Station), and to send you marketing messages.

Item Sixteen: Replacement, Return and Renewal Policy:

The validity period of the purchased user accounts and branches is the same as the subscription validity period. When purchasing a user account or branch, the cost of the account will be calculated according to the remaining period of the package subscription.

  • The validity period for messages purchased for the store is one year from the date of purchase.
  • Subscription to the (Business Station) package can be canceled when it is activated for the first time, and the subscription fee will be refunded within 14 days of the validity of the subscription.
  • Subscription to the (Business Station) package can be temporarily suspended for a maximum of 30 days without fees, provided that the number of suspension times does not exceed twice in one year.
  • When canceling the paid package subscription, you can continue to use the package and benefit from its benefits until the subscription end date.
  • In the event of canceling any package for the first time, a transfer fee will be charged to your bank account amounting to 8.05 riyals, including tax, in addition to any other fees imposed in order to achieve this.

  • Violation of the rules and provisions of the usage agreement.
  • If the Business Station platform and its affiliated platforms cannot authenticate any of the user information submitted to it.
  • If the Business Station platform and its affiliated platforms determine that the user’s activities are in violation of the law or that the user’s activities may cause other users or the Business Station platform and its affiliated platforms legal troubles or violations.

The Business Station platform and its affiliated platforms may reactivate suspended users at their discretion. However, a user whose activity has been permanently suspended or whose membership has been canceled may not be able to register or restore their account on the Business Station platform and its affiliated platforms or use the platform in any way, whatever the circumstances.

If a merchant violates the usage agreement, the Business Station platform and its affiliated platforms may recover or claim any amounts due to them from the merchant and any losses or damages caused by the merchant to the Business Station platform and its affiliated platforms.   • All merchants and stores acknowledge that the management of the Business Station platform and its affiliated platforms in transferring funds for their commercial activities within the Business Station platform and its affiliated platforms are subject to the authority and powers of the Monetary Agency in the Kingdom of Saudi Arabia. As a result, the Business Station platform and its affiliated platforms may be late in transferring some funds, as a result of the restrictions of the Monetary Agency, the Ministry of Commerce and Investment, and the e-commerce regulations imposed on electronic buying and selling operations.

The Business Station platform and its affiliated platforms strictly prohibit the sale of the following products and services, including but not limited to:

  • Any product or service that contains gambling, lucky boxes, or random products.
  • Any product or service that may lead to any physical or psychological harm in any way.
  • Any pirated contents or subscriptions and everything that violates intellectual property and copyright rights.
  • Any sexual or pornographic product or service, or anything that calls for it.

If you are found to be selling any of these products or services, your store may be suspended or terminated, and you may be subject to other penalties.

The merchant is fully responsible for their store and their dealings with consumers. The Business Station platform and its affiliated platforms always have the right to take what they deem appropriate for any store or merchant that violates the provisions of the Saudi Information Crimes Law. This may include informing the official authorities or simply closing the online store or canceling the merchant’s membership on the platform.

No Imposition of Terms

  • Only the management of the Business Station platform and its affiliated platforms can impose any articles, terms, or provisions in the usage agreement.
  • The Business Station platform and its affiliated platforms may receive suggestions from merchants about the usage agreement.

Language and Amendments

  • If the usage agreement is translated into any other language, the Arabic text of the usage agreement remains the original in all transactions.
